1. Acceptance of terms
By creating a FieldNDA account or using the service, you agree to these Terms of Service. If you do not agree, do not use the service.
2. The service
FieldNDA provides a document workflow platform for generating, delivering, signing, and storing mutual non-disclosure agreements. We are not a law firm and do not provide legal advice.
3. Subscriptions and billing
Plans are billed annually in advance via Stripe. Subscriptions renew automatically unless canceled. Refund requests within 30 days of initial purchase will be honored.
4. Acceptable use & sender representations
You agree not to use FieldNDA for unlawful purposes, to send NDAs to recipients without a legitimate business purpose, or to attempt to circumvent the security of the platform.
When you enter a recipient's mobile phone number in FieldNDA to request SMS delivery of an NDA, you represent and warrant, as a contractual condition of using the SMS feature, that: (a) the recipient voluntarily provided that phone number directly to you in the course of an in-person meeting or an existing business conversation between you and the recipient; (b) the number was not purchased, rented, scraped, harvested, or uploaded from any marketing list or third-party data source; (c) you have a legitimate business purpose for executing a mutual NDA with that recipient; and (d) you are authorized to request FieldNDA to send that recipient a one-time SMS consent request in connection with this specific NDA transaction. FieldNDA will only text the NDA signing link after the recipient replies YES to the consent request; the recipient's YES reply is the electronic consent of record.
5. Documents and content
You retain ownership of the content you upload and the agreements you generate. We process documents solely to provide the service.
6. Limitation of liability
To the maximum extent permitted by law, FieldNDA is not liable for any indirect, incidental, or consequential damages arising from use of the service.
7. Changes
We may update these terms; we will notify subscribers of material changes by email.
Ownership and Operations
FieldNDA is a venture operated by Colowebo LLC and supported through the VentureX OS operating framework. VentureX OS provides operational infrastructure, automation systems, analytics, and administrative support for ventures within the VentureX ecosystem.
